Qui sera affect\u00e9 par ces changements?<\/strong><\/h1>\n

Il n’y aura pas beaucoup de changements pour certaines soci\u00e9t\u00e9s offshore bas\u00e9es au Belize. D’autres seront affect\u00e9es de plusieurs mani\u00e8res.<\/p>\n

L’un des domaines pour lesquels les choses seront diff\u00e9rentes est celui de l’\u00e9mission d’actions. Les soci\u00e9t\u00e9s \u00e0 responsabilit\u00e9 limit\u00e9e par garantie qui \u00e9taient autoris\u00e9es \u00e0 \u00e9mettre des actions et celles qui ne l’\u00e9taient pas auront de nouvelles r\u00e8gles \u00e0 suivre.<\/p>\n

Les soci\u00e9t\u00e9s fiduciaires priv\u00e9es doivent \u00e9galement apporter des modifications pour se conformer aux dispositions de la nouvelle loi. Il en va de m\u00eame pour toutes les soci\u00e9t\u00e9s \u00e9trang\u00e8res. Les soci\u00e9t\u00e9s \u00e0 portefeuille s\u00e9par\u00e9 doivent \u00e9galement repenser leurs op\u00e9rations actuelles pour se conformer pleinement \u00e0 la nouvelle loi.<\/p>\n

Processus de r\u00e9enregistrement<\/strong><\/h1>\n

Toutes les soci\u00e9t\u00e9s constitu\u00e9es en vertu des dispositions des deux lois pr\u00e9c\u00e9dentes doivent se r\u00e9enregistrer.<\/p>\n

Le processus de r\u00e9enregistrement devait \u00eatre achev\u00e9 avant la fin du mois de novembre 2022 pour que les soci\u00e9t\u00e9s puissent rester en r\u00e8gle.\u00a0 Si votre entreprise n’a pas \u00e9t\u00e9 r\u00e9enregistr\u00e9e, contactez-nous pour obtenir de l’aide.<\/p>\n

Pour faciliter le processus d’enregistrement, le Belize a lanc\u00e9 le syst\u00e8me d’enregistrement des entreprises en ligne (OBRS). Tous les inscrits recevront un num\u00e9ro d’entreprise \u00e0 neuf chiffres et un certificat \u00e9lectronique \u00e0 l’issue de la proc\u00e9dure d’enregistrement.<\/p>\n

Registres comptables<\/strong><\/h1>\n

Une disposition de la nouvelle loi modifie les documents et registres que les soci\u00e9t\u00e9s offshore doivent conserver dans le pays. Alors que certaines choisissent de conserver leurs documents comptables dans le pays, d’autres les conservent en dehors du Belize. Avec la nouvelle loi, il sera n\u00e9cessaire de conserver des copies de certains documents dans le pays.<\/p>\n

Les propri\u00e9taires d’entreprise doivent conserver un document confirmant l’emplacement des documents originaux en dehors du Belize. L’autre obligation est d’avoir des copies de toutes les transactions qui permettent d’\u00e9valuer avec pr\u00e9cision la situation financi\u00e8re de l’entreprise.<\/p>\n

Des proc\u00e9dures simplifi\u00e9es<\/strong><\/h1>\n

Une grande partie de cette nouvelle loi vise \u00e0 simplifier la t\u00e2che des chefs d’entreprise dans la mise en \u0153uvre des proc\u00e9dures de base li\u00e9es \u00e0 l’\u00e9tablissement et au maintien de la conformit\u00e9 avec les exigences du gouvernement incluant l’utilisation de technologies modernes. Les anciennes lois n’abordaient pas l’utilisation de la technologie dans ce domaine.<\/p>\n

D\u00e9sormais, il existe la possibilit\u00e9 de remplir les exigences de mani\u00e8re num\u00e9rique, de soumettre rapidement des d\u00e9clarations et des rapports, et m\u00eame de recevoir des confirmations et des re\u00e7us num\u00e9riques, facilitant la communication avec l’administration.<\/p>\n

R\u00e9unions virtuelles<\/strong><\/h1>\n

Bien que l’enregistrement au Belize ait eu tendance \u00e0 \u00eatre moins complexe que dans d’autres pays, la nouvelle loi vise \u00e0 simplifier d\u2019avantage le processus. Les r\u00e9unions qui devaient auparavant avoir lieu en personne peuvent d\u00e9sormais se d\u00e9rouler par vid\u00e9oconf\u00e9rence. L’enregistrement de la vid\u00e9oconf\u00e9rence n’est pas obligatoire mais peut \u00eatre r\u00e9alis\u00e9 avec l’accord des deux parties.<\/p>\n

Limitation du nombre d’actionnaires<\/strong><\/h1>\n

Certaines structures d’entreprise imposaient des limites statutaires au nombre d’actionnaires qu’une entreprise pouvait s’assurer. La nouvelle loi modifie cette situation en permettant aux propri\u00e9taires d’entreprises d’augmenter le nombre d’actionnaires. Il s’agit d’un moyen de permettre \u00e0 l’entreprise de se d\u00e9velopper tout en conservant une autorit\u00e9 r\u00e9glementaire raisonnable.<\/p>\n

Il existe toujours des obligations relatives \u00e0 l’\u00e9mission d’actions, \u00e0 la mani\u00e8re dont les investisseurs peuvent s’exprimer et \u00e0 la mani\u00e8re de voter.
